There are two ways to raise a round via equity crowdfunding. The first one is via a priced round where the company sells directly shares. In this case, it is always better to have a lead investor that is establishing the valuation of the company so that this one is not established out of smoke by the entrepreneur.

If there is not a lead investor, the other way around it is to raise the round via a convertible debt round where the company is selling convertible notes that can be converted into equity as soon as the startup raises the next round which is presume to be the first institutional round of funding. Via a convertible debt round, the startup will need to grant investors an interest on the investment, a discount on the next round of financing, and a cap on the valuation.
